Terms of Service

The rules that govern use of socialplant.com and any engagement with Social Plant LLC. California governed, Los Angeles seat.

1. Acceptance

By accessing socialplant.com (the “Site”) or engaging Social Plant LLC (“Social Plant”, “we”, “us”) for any service, you agree to these Terms of Service. If you do not agree, do not use the Site or request services.

2. About Social Plant LLC

Social Plant LLC is a California limited liability company headquartered in Los Angeles, California. We operate as a full-service product and growth studio, providing design, engineering, and growth services to founders and businesses.

3. Services

Engagements are scoped through a written statement of work (SOW) or proposal. Pricing, deliverables, milestones, and acceptance criteria are defined per engagement. These Terms apply to every engagement unless a signed SOW expressly supersedes a specific clause.

4. Submissions via /start

When you submit an idea, brief, or attachment through the /start form, you grant Social Plant a non-exclusive, royalty-free, worldwide license to receive, review, store, and respond to your submission. You retain all intellectual property rights in your submission. We will not publish, share, or redistribute your submission outside the team reviewing it without your prior written consent.

5. Intellectual Property

The Site (including the wordmark, logo, particle-cloud visual, copy, and code) is owned by Social Plant LLC or licensed to it. Custom deliverables produced under a signed SOW are assigned to the client upon full payment, subject to our retained rights in tooling, libraries, and methodology defined in that SOW.

6. User Obligations

You agree (a) not to attempt unauthorized access to the Site or our systems, (b) not to scrape, mirror, or reverse engineer the Site for commercial purposes, (c) to provide accurate information when submitting forms, and (d) to comply with applicable law.

7. Disclaimers

The Site is provided on an “as is” and “as available” basis. We do not warrant that the Site will be uninterrupted, error-free, or fit for any particular purpose. See our Disclaimers page for the full statement.

8. Limitation of Liability

To the maximum extent permitted by law, Social Plant’s aggregate liability arising out of or related to the Site or an engagement shall not exceed the fees actually paid by you to Social Plant under the relevant SOW in the twelve (12) months preceding the event giving rise to the claim. In no event will Social Plant be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

9. Indemnification

You agree to indemnify and hold Social Plant LLC, its members, employees, and contractors harmless from any claim arising out of (a) your use of the Site, (b) your breach of these Terms, or (c) your violation of any third-party right.

10. Termination

We may suspend or terminate access to the Site at any time, for any reason, without notice. Engagement-level termination follows the terms of the applicable SOW.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Exclusive venue is Los Angeles County, California.

12. Dispute Resolution

Before initiating any formal proceeding, the parties shall attempt good-faith negotiation for thirty (30) days from written notice of the dispute. If negotiation fails, the parties may submit the dispute to binding arbitration under the JAMS Streamlined Arbitration Rules in Los Angeles, California. Either party may seek injunctive relief in court for misuse of intellectual property.

13. Changes to Terms

We may update these Terms from time to time. The “Last updated” date below reflects the most recent revision. Material changes will be summarized in our changelog when published.

14. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
